Welcome to So.lv. By accessing our servers, websites, or content therefrom ("Solv"), you agree to these Terms of Use ("TOU"), first published April 1, 2017.

You are responsible for safeguarding the password that you use to access Solv and for any activities or actions under your password. We encourage you to use "strong" passwords (that use a combination of upper and lower case letters, numbers and symbols) with your account. Solv will not be liable for any loss or damage arising from your failure to comply with this instruction.

To the extent permitted by law, we make no promise as to Solv's availability, timeliness, completeness, accuracy, propriety, security or reliability; (2) your access and use are at your own risk, and Solv is provided "as is" and "as available."

We are not liable for any harm resulting from (1) information exchanged by users (2) user interaction and conduct, including but not limited to unlicensed and or illegal conduct (3) accuracy of information, efficacy of guidance or advice provided by Solvers (4) quality of service provided by Solvers. (5) We and our officers, directors, employees ("Solv Entities") DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE OR NON-INFRINGMENT. SOLV ENTITIES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS (i.e. profit, revenue, data, or goodwill).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLV AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (1) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS SOLV; (2) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY FIRST CONTRACTED THROUGH SOLV, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (3) ANY THIRD PARTY SERVICE OBTAINED FROM SOLV; AND (4) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT SOLV HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Whenever it deems it necessary to preserve the integrity of the Solv platform and the well-being of its users, you agree that Solv retains the right to restrict, limit, censor, ban and or moderate any users' access and use. You agree Solv has the right to enforce these same rights, by any of the following but not limited to the following methods: suspending, filtering, and terminating/deleting accounts, delaying validation, verification, blocking I.P. addresses and or blocking e-mail addresses. You agree not to circumvent any efforts to restrict, limit, censor, ban and or moderate the access of any user.

Solv may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Solv of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. Forum: You agree (1) any claim, cause of action or dispute ("Claim") arising out of or related to the TOU or your Solv use is governed by Illinois ("IL") law regardless of your location or any conflict or choice of law principle; (2) Claims must be resolved exclusively by state or federal court in Chicago, IL (except we may seek injunctive remedy anywhere); (3) to submit to personal jurisdiction of said courts; (4) any Claim must be filed by 1 year after it arose or be forever barred; (5) not to bring or take part in a class action against Solv Entities; (6) (except government agencies) to indemnify Solv Entities for any damage, loss, and expense (e.g. legal fees) arising from claims related to your Solv use;

If anyone brings a claim against us related to your actions originating at Solv, or actions or the actions of someone using your account, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim. For any claim (excluding claims for injunctive or other equitable relief) under the TOU where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute through binding non-appearance-based arbitration. The party electing such arbitration shall initiate the arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, as selected by the party initiating the arbitration; b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. This is the exclusive and entire agreement between us. The failure of Solv to enforce any right or provision of the TOU will not be deemed a waiver of such right or provision. If a TOU term is unenforceable, other terms are unaffected. If TOU translations conflict with the English version, English controls.
